Welcome to Guard My Trade. These Terms of Service ("Terms") govern your access to and use of our desktop application, NinjaTrader add-on, website, and related services (collectively, the "Service") provided by Guard My Trade ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Nature of Service

Guard My Trade is not a broker, dealer, investment advisor, or fiduciary. We solely act as a technical intermediary that:

• Enforces trading rules you configure
• Copies trades between accounts you authorize
• Provides behavioral insights from your trading history
• Processes TradingView webhook alerts

We do not provide investment advice, trading recommendations, or financial planning services. All trading decisions are made solely by you.

2. Eligibility

To use the Service, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable law
• Have valid brokerage accounts with supported platforms

3. Intended Use

The Service is designed for individual retail traders who are trading their own personal capital. You agree to use the Service only for lawful purposes and in accordance with these Terms.

4. Account Registration

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts with inaccurate, outdated, or incomplete information.

5. Secret Keys and Credentials

You are solely responsible for protecting your account credentials, API keys, and any secret keys used with the Service. You acknowledge that:

• Any actions taken using your credentials are considered authorized by you
• You must not share credentials with third parties
• Compromised credentials must be revoked and replaced immediately
• We are not liable for unauthorized access resulting from credential compromise

6. Pricing and Payment

6.1 Free Tier

We offer a free tier that includes one trading account with all features. No credit card is required for the free tier.

6.2 Paid Plans

Additional accounts or features may require a paid subscription. Prices and features are as displayed at the time of purchase.

6.3 Refund Policy

We offer a 14-day money-back guarantee for paid subscriptions. After 14 days, prepaid subscription fees are non-refundable. Cancellation will prevent future charges but will not result in prorated refunds for the remaining subscription period.

7. Trading Rules and Alerts

Guard My Trade processes your configured trading rules and webhook alerts. You acknowledge that:

• We do not review, validate, or monitor the logic of your trading strategies
• Rule enforcement depends on accurate configuration by you
• Market conditions may affect the execution of rules
• You are solely responsible for the trading decisions encoded in your rules

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Uninterrupted or error-free operation
• Accuracy or reliability of any information
• Compatibility with your trading platform or broker

10. Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service or related systems
• Reverse engineer, decompile, or disassemble the software
• Scrape, crawl, or use automated tools to access the Service
• Share your account or credentials with others
• Create multiple accounts to circumvent limitations
• Resell or redistribute the Service without authorization
• Use the Service to facilitate market manipulation or fraud
• Interfere with or disrupt the Service or servers

11. Indemnification

You agree to indemnify, defend, and hold harmless Guard My Trade and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your trading activities and decisions

12. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and data in accordance with our Privacy Policy
• Provisions that should survive termination will remain in effect

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

14.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration, rather than in court. You waive your right to participate in class actions or class-wide arbitration.

14.3 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Guard My Trade regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights without restriction.
